The arbitration court of Primorye received a claim from the “MSS” company from St. Petersburg. The representatives of the company ask to declare the “Eastern Shipyard” bankrupt, pointing out to a debt of 2.16 million rubles. Considering that there is a valid moratorium on bankruptcy in Russia, which the shipyard did not refuse from, the transition of the trial to the active stage seems doubtful. However, some experts see this lawsuit as an indication of the actual bankruptcy of the seaside company.
The organization's published financial statements for the past year do not give cause for optimism. The company participating in the investment program ended 2021 with a loss of 2.15 billion rubles. A notification, in which the company pointed to the detected signs of insolvency established by law, appeared on the “Fedresurs” portal.
Corporate dispute complicates the state of affairs in the company. It was started by the co-owners of the organization. It is known that the main beneficiary is Gennady Lazarev, who was previously elected to the Legislative Assembly of the region. He owns 36.99% of the company's shares.
PEC (Pacific Electrotechnical Company) owns 15.36% of the securities. Its co-owner Andrei Miroshnichenko personally owns 5.75% of the shares.
Corporate conflict was initiated by Igor and Olga Miroshnichenko. They own 5.5% and 5.9% of the shares. The regional arbitration court received several claims related to the procedure for electing a new director of the plant, which took place on December 29, 2021 at an extraordinary meeting of shareholders.
Then Gennady Lazarev was deprived of the powers of CEO. Oleg Zubakhin, who previously headed “Mercy Trade”, became the sole executive body.
Now Igor and Olga Miroshnichenko are demanding that the arbitration annul the decision of the Board of Directors that called this meeting. If the decision is cancelled, they propose to include an alternative candidate in the list of candidates for the post of CEO.
